2. PURPOSE

It is a well-known fact that distance education institutions are not organized for being functional in this area. Based on this information, it is clear that a regional organization, tentatively called UDEEEWANA, can serve the needs of the region's 50-plus countries. A centrally located country like Turkey with a history of involvement with distance education is a logical place to situate a regional organization to foster better distance education. To fill this gap, UDEEEWANA will have functional role in the region and organize the practices.

The organization UDEEEWANA is based on the philosophy that stand-alone, self-sufficient, open education institutions cannot succeed without the support of grass-root organisations, professionals, educators, students and the general public. UDEEEWANA follows the same approaches as other international DE/ODL associations and aims to become the major professional body supporting open colleges and virtual universities in Africa.

3. SUMMARY

By the same token, education proves to be an important mean of achieving this type of interaction. Here, distance education is the appropriate mean of reaching communities far away and creating relations with them despite long distances and limitations of traditional methods of education. It is then possible to be in contact with masses and share information, values and world view. It is a well-known fact that distance education institutions are not organized for being functional in this area. Based on this information, it is clear that a regional organization, tentatively called UDEEEWANA, can serve the needs of the region's 50-plus countries. A centrally located country like Turkey with a history of involvement with distance education is a logical place to situate a regional organization to foster better distance education. To fill this gap, UDEEEWANA will be functional role for the region and organize the practices of the regional countries in academy and practice in the distance education field. Countries are Algeria, Azerbaijan, Belarus, Bulgaria, Egypt, Estonia, Finland, Greece, Georgia, Jordan, Hungary, Iraq, Iran, Israel, Kazakhstan, Kyrgyzstan, Latvia, Lithuania, Macedonia, Moldova, Mongolia, Morocco, Norway, Oman, Palestine, Poland, Romania, Russia, Saudi Arabia, Serbia, Slovakia, Slovenia, Sweden, Syria, Tajikistan, Tunisia, Turkmenistan, Turkey, Ukraine, United Arab Emirates, Uzbekistan, to name but afew.

4. BACKGROUND

United  Distance Education for Eastern Europe, Western Asia and Northern Africa (UDEEEWANA), established in April 2014, is an international organization dedicated to promoting cooperation in any level of distance education institutions on science and culture for Eastern Europe, West Asia and Northern Africa region’s countries such as  Algeria, Azerbaijan, Belarus, Bulgaria, Egypt, Estonia, Finland, Greece, Georgia, Jordan, Hungary, Iraq, Iran, Israel, Kazakhstan, Kyrgyzstan, Latvia, Lithuania, Macedonia, Moldova, Mongolia, Morocco, Norway, Oman, Palestine, Poland, Romania, Russia, Saudi Arabia, Serbia, Slovakia, Slovenia, Sweden, Syria, Tajikistan, Tunisia, Turkmenistan, Turkey, Ukraine, United Arab Emirates, Uzbekistan and so on. UDEEEWANA was established with the rationale that conventional institutions cannot meet the challenge of education for all. The UDEEEWANA is conceived as a centre of DE-ODL expertise with a mission to help UDEEEWANA member countries and other members to identify educational problems and solutions for sustainable human resource development. The UDEEEWANA’s goal is to conduct programmes that are responsive to current national and regional requirements.

5. CONCLUSION

UDEEEWANA will be crowned by its members, followers, with collaborated partners day by day in the world. And also, UDEEEWANA will be the lead association in it’s region and one of the best leading institution around the world. 

6.  MEMBERS ARE AGREE AS FOLLOWS DEFINITION 

By saying “Member” we mean those individuals and institutions that has signed a contract with UDEEEWANA by read and accepted UDEEEWANA’s Constitution.

“Agreement” means this memorandum of understanding.

“Contract” means the contract(s) signed between UDEEEWANA and the members of the supply of UDEEEWANA services and the realization of the contracted Project.

“Services” means the coordination and management of services to be delivered under the contract to the member.

“Project” means the tendering for, and in case of success, the entering into the contract as well as the supply of Services, all in accordance with the Contract. 

7. SCOPE

The members agreed to act and also cooperate in good faith and use their best endeavors for selling business, coordination, collaboration & management consultancy services at the best price possible with the aim of maximizing profit for UDEEEWANA.

The members agree that UDEEEWANA shall defend members’ rights and shall develop proposals in coordination for the rendering of services to the members' as per their requirements.

The Members agree that UDEEEWANA shall provide the services to the members in coordination as per the contracted.

The members agree that the planning of project’s requirements will be UDEEEWANA responsibility.

UDEEEWANA members agree to pay regularly their membership fee with this agreement and during the time the Agreement is valid. The membership fee will be an annual payment. Then UDEEEWA shall provide qualified resources for the execution of projects in the future, utilization of such resources.

Each of the any level members agrees that it shall not during the term of this agreement directly or indirectly enter into any agreement, understanding or arrangement with a third partner relating to the supply of services in connection with the project in competition (in whole or in part) with the offer or otherwise itself act in competition (in whole or in part) with the offer.

The members in this agreement are willing to work voluntary-based on a short and long term basis and have agreed that contingencies and milestones be defined and put into effect during the course of the business relationship.

Both side of this agreement has to work and collaborate diligently in order to win the contracts with the members

Neither Party may assign or transfer in any way any of its rights or obligations under this agreement without the prior written consent of the other Party which shall not be unreasonably withheld in the case of any internal corporate reorganization or internal reconstruction or re-arrangement.

When the member or its affiliates make a contribution or when the Steering Committee adopts and approves for release a Specification, the member and its affiliates hereby agree to grant to other Members and their Affiliates under reasonable terms and conditions that are demonstrably free of any unfair discrimination, anon exclusive, nontransferable, worldwide license under its Necessary Claims to allow such members to make, have made, use, import, offer to sell, lease and sell and otherwise distribute Compliant Portions, provided that such agreement to license shall not extend to any part or function of a product/project in which a Compliant Portion is incorporated that is not itself part of the Compliant Portion. Member agrees that it will not transfer patents having Necessary Claims for the purpose of circumventing.
